General terms of sale

1. Scope

These terms apply to all quotes, order confirmations and supplies of VitaSan Labs, VAT IT06246720871, Via San Michele Arcangelo 30, 95056 Sant'Agata li Battiati (CT), Italy.

Sales are reserved for professional customers: companies, laboratories, universities, public and research institutions, professionals. The customer's general terms apply only if accepted in writing by VitaSan Labs. Specific conditions stated in the quote or order confirmation prevail over these terms.

2. Quotes and prices

The website does not allow online purchases: the information and prices published are meant for preparing a quote request. List prices shown on the website exclude VAT, are indicative and may change without notice; the prices in the quote or order confirmation are binding.

Unless stated otherwise, quotes are valid for 30 days from the date of issue. Shipping costs, special packaging (for example dry ice or refrigerated transport) and any import charges are stated in the quote.

3. Orders and conclusion of the contract

Orders are sent by email, certified email or through the customer's purchasing portal, quoting the offer reference. The contract is concluded with the written order confirmation from VitaSan Labs.

Orders for products made on request (custom synthesis, custom pack sizes, concentrations or solvents, products procured specifically for the customer) cannot be cancelled after confirmation. Other products can be cancelled only before shipment and with the written agreement of VitaSan Labs.

4. Delivery and transport

Delivery times are estimates and not of the essence: a delay does not entitle the customer to cancel the order or to compensation, unless agreed otherwise in writing. VitaSan Labs handles import, customs and transport documents; deliveries are made by tracked express courier to the address given by the customer.

Dangerous goods are shipped according to ADR and IATA rules, and products that require it are shipped under cold chain. Unless agreed otherwise in the quote, risk passes to the customer on delivery. On receipt the customer checks the parcels and notes any visible damage to the packaging on the courier's delivery document, accepting the goods with reservation.

5. Payment

Unless agreed otherwise in the quote, payment is by bank transfer within 30 days of the invoice date. For new customers or large orders VitaSan Labs may request payment in advance.

Invoices for Italian customers are issued electronically through the Sistema di Interscambio. Late payments bear the default interest set by Italian Legislative Decree 231/2002. The goods remain the property of VitaSan Labs until the price has been paid in full.

6. Product use

Unless stated otherwise on the product page or label, products are intended solely for laboratory use: analysis, quality control and research. They are not intended for human or veterinary use, for therapeutic or diagnostic purposes, or for use as food, cosmetics or ingredients.

The customer has them handled by qualified staff, in accordance with the safety data sheet (SDS) and applicable regulations, and is responsible for choosing the right product for their method.

7. Substances subject to authorisation

For narcotic and psychotropic substances, drug precursors and other substances subject to authorisation or licence, supply is subject to the documents required by law (for example ministerial authorisations or end-use declarations), which the customer sends before shipment. Delivery times run from receipt of all documents.

8. Quality, documents and complaints

Every product comes with the lot certificate of analysis (CoA) and, where required, the safety data sheet. VitaSan Labs warrants that the product conforms to its certificate, provided it is stored as stated on the label and used before the expiry or retest date.

Complaints about non-conformity or defects must be sent in writing within 8 days of receipt, or of discovery for defects that cannot be detected immediately, stating the lot and the reason. If the complaint is justified, VitaSan Labs replaces the product or, if replacement is not possible, refunds the price paid for the product concerned.

9. Returns

Returns are accepted only with the written authorisation of VitaSan Labs. Given the nature of the products (reference materials, temperature-sensitive reagents, dangerous substances), returns are possible only for non-conforming products or shipping errors; goods must be returned intact, in the original packaging and according to the instructions received.

10. Liability

The liability of VitaSan Labs is limited to the value of the supply concerned. Except in cases of wilful misconduct or gross negligence, VitaSan Labs is not liable for indirect or consequential damages, such as loss of production, laboratory downtime, loss of data or results, or the cost of repeating analyses.

11. Force majeure

VitaSan Labs is not liable for delays or failures to deliver due to causes beyond its control, such as strikes, natural events, transport or customs blockages, orders of the authorities or unavailability at the manufacturer. In these cases deadlines are extended for the duration of the impediment.

12. Personal data

Customer data are processed according to the privacy policy.

13. Governing law and jurisdiction

These terms and the sales contracts are governed by Italian law, excluding the United Nations Convention on Contracts for the International Sale of Goods. The Court of Catania, Italy, has exclusive jurisdiction over any dispute. In case of differences between the Italian and the English version, the Italian version prevails.
